Terms of Sale

By placing an order with UDT Manufacturing, you agree to the following Terms of Sale.

Orders and Acceptance

All orders are subject to acceptance by UDT Manufacturing. Quotes are provided for informational purposes only and do not constitute acceptance of an order. Orders are accepted only when confirmed by UDT Manufacturing.

Pricing

Prices are subject to change without notice unless otherwise stated in a written quote. Quoted pricing is valid only for the period stated in the quote. Taxes, freight, handling, and any other applicable charges are additional unless specifically included.

Payment Terms

Payment is due according to the terms stated on the applicable quote, order acknowledgment, or invoice. UDT Manufacturing may require payment in advance, partial prepayment, or other payment security at its discretion. Credit card payments are subject to verification and approval.

Shipping and Delivery

Delivery dates are estimates only and are not guaranteed. UDT Manufacturing is not liable for delays caused by carriers, suppliers, force majeure events, or other circumstances beyond its reasonable control. Risk of loss and title pass to the customer upon shipment unless otherwise agreed in writing.

Inspection and Claims

Customer must inspect all goods upon receipt and notify UDT Manufacturing promptly of any shortages, shipping damage, defects, or nonconforming items. Claims for visible damage or shortage should also be noted with the carrier at time of delivery.

Custom and Manufactured Products

Products that are custom-made, converted, cut, printed, special-order, or otherwise manufactured to customer specifications are non-cancelable and non-returnable once production has begun, except in the case of confirmed defect or error attributable to UDT Manufacturing.

Cancellations

Orders may not be canceled without written approval from UDT Manufacturing. Approved cancellations may be subject to cancellation charges, including material, labor, and work-in-process costs.

Limited Warranty

UDT Manufacturing warrants only that products supplied will materially conform to the specifications agreed to in writing, if any, at the time of sale. Any manufacturer warranty, if applicable, passes through to the customer to the extent permitted. Except as expressly stated, products are provided without additional warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

Limitation of Liability

UDT Manufacturing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost production, or business interruption. UDT Manufacturing's total liability arising out of any order or sale shall not exceed the amount paid by the customer for the specific goods giving rise to the claim.

Use of Products

Customer is responsible for determining whether the products are suitable for the intended application and for using them in compliance with applicable laws, regulations, and industry requirements.

Governing Law

These Terms of Sale are governed by the laws of the State of Florida, without regard to conflict of law principles.

Changes to Terms

UDT Manufacturing may update these Terms of Sale from time to time by posting revised terms on its website. The terms in effect at the time of order will apply unless otherwise agreed in writing.

Return and Refund Policy

UDT Manufacturing is committed to addressing legitimate issues with products and orders promptly and fairly.

Returns Require Approval

No product may be returned without prior authorization from UDT Manufacturing. Return requests must be submitted within a reasonable period after receipt of goods and must include order details and the reason for the request.

Non-Returnable Items

The following items are generally not eligible for return or refund:

• Custom, converted, printed, cut-to-size, or special-order products
• Products manufactured to customer specifications
• Used, altered, damaged, or partially consumed products
• Items not in original condition or packaging, where applicable

Damaged, Defective, or Incorrect Items

If a product arrives damaged, defective, or incorrect, the customer must notify UDT Manufacturing promptly after receipt. UDT Manufacturing may request photographs, samples, inspection, or other supporting information before issuing a replacement, credit, or refund.

Approved Returns

Approved returns may be subject to inspection upon receipt. Returned items must be unused and in resalable condition unless the return is due to confirmed defect or shipping damage. Return freight responsibility will be determined based on the reason for the return.

Refunds and Credits

If a return or claim is approved, UDT Manufacturing may, at its discretion:

• Replace the product
• Issue a credit memo
• Issue a refund to the original method of payment

Refund timing may vary depending on the payment processor and financial institution.

Order Cancellations

Orders for stocked items may be canceled only with written approval and prior to shipment. Orders for custom or special-order items may not be canceled once purchasing, conversion, or production activity has begun.
